End User License Agreement

1. License grant

Subject to your compliance with this EULA and timely payment of all applicable subscription fees, BooksNav grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Software for your internal business purposes during your active subscription period. The Software is provided as a hosted service (software as a service): you are licensed to access the Software only, no copy of the Software is delivered or transferred to you, and you acquire no ownership interest in BooksNav or its underlying technology.

2. License restrictions

You agree not to, and not to permit any third party to:

• Reverse engineer, decompile, disassemble, or attempt to derive the source code, structure, or underlying ideas of the Software, except to the extent this restriction is prohibited by applicable law;
• Copy, modify, translate, or create derivative works of the Software;
• Rent, lease, lend, sell, sublicense, assign, distribute, or otherwise transfer the Software or your access to it to any third party;
• Remove, obscure, or alter any proprietary notices on the Software;
• Use the Software to transmit malicious code, spam, or unlawful content;
• Use automated tools to scrape or extract data from the Software other than through our supported export features;
• Circumvent, disable, or interfere with any security, authentication, rate-limiting, or access-control features of the Software;
• Access the Software to build a competing product or service, or for any benchmarking or competitive-analysis purpose;
• Use the Software in any manner that violates applicable law or Intuit's QuickBooks Online terms of service.

3. Ownership and intellectual property

The Software, including all software, code, designs, user interfaces, text, graphics, and all intellectual property rights in and to the foregoing, is and remains the exclusive property of BooksNav and its licensors. This EULA grants you a license to use the Software, not a sale of any rights in it. All rights not expressly granted to you in this EULA are reserved by BooksNav.

4. Third-party services

The Software integrates with third-party services to function, including QuickBooks Online (Intuit Inc.) for the accounting data you choose to connect, and infrastructure and authentication providers used to operate the Service. Your use of QuickBooks Online through the Software is subject to your separate agreement with Intuit and to Intuit's applicable terms. BooksNav is an independent application and is not endorsed by, or affiliated with, Intuit Inc. QuickBooks and QuickBooks Online are trademarks of Intuit Inc. We connect to QuickBooks Online with read access to retrieve the data needed to power reporting, and you can disconnect that access at any time from within the Software or from QuickBooks.

5. Your data

You retain all rights to the financial data and saved searches you bring into or create within the Software. Our collection, use, storage, and protection of your data are described in our Privacy Policy. Your QuickBooks connection tokens are encrypted at rest, and your data is isolated from every other customer through row-level security.

6. Subscription, fees, and trial

Your license is tied to an active subscription. Subscription plans, the 30-day free trial (which requires no payment method), prepaid billing, price changes, and refunds are described in our Terms of Service and Refund Policy, which govern those topics. If your subscription lapses, your license to the paid features ends and your account moves to a limited read-only state until you resubscribe; your data and saved settings are preserved.

7. Updates and changes to the Software

Because the Software is provided as a hosted service, we may update, improve, or modify it from time to time, and may add or remove features. We will make reasonable efforts to maintain core functionality, but we are not obligated to maintain any particular feature.

8. Disclaimer of warranties

THE SOFTWARE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SOFTWARE WILL BE ERROR-FREE OR UNINTERRUPTED, OR THAT ANY DATA WILL BE ACCURATE OR COMPLETE. YOUR USE OF THE SOFTWARE IS AT YOUR SOLE RISK.

9. Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW:

• OUR TOTAL LIABILITY TO YOU FOR ANY CLAIM ARISING OUT OF OR RELATING TO THIS EULA OR YOUR USE OF THE SOFTWARE SHALL NOT EXCEED THE TOTAL FEES YOU PAID US IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE CLAIM;
• IN NO EVENT SHALL WE BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, LOSS OF DATA, OR BUSINESS INTERRUPTION, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

Some jurisdictions do not allow the exclusion or limitation of certain damages, so the above limitations may not apply to you in full.

10. Term and termination

This EULA is effective until terminated. Your license terminates automatically if you breach any of its terms. You may terminate by canceling your subscription and discontinuing use of the Software. We may suspend or terminate your access at any time, with or without notice, for any breach of this EULA or as otherwise permitted in the Terms of Service. Upon termination, your license to use the Software ends immediately and you must cease all use of the Software. Sections 3, 5, 8, 9, and 11 survive termination.

11. Governing law

This EULA is governed by the laws of the jurisdiction in which BooksNav is established, without regard to conflict-of-law provisions.

12. Changes to this EULA

We may update this EULA from time to time. When we make material changes, we will update the "Last Updated" date at the top of this page and, where appropriate, notify you by email. Continued use of the Software after a change constitutes acceptance of the revised EULA.

13. Relationship to other agreements

This EULA, together with the Terms of Service and Privacy Policy, constitutes the entire agreement between you and BooksNav regarding the Software. If any provision is found unenforceable, the remaining provisions remain in full effect. If there is a direct conflict between this EULA and the Terms of Service specifically regarding the license to use the Software, this EULA controls; on all other matters, the Terms of Service control.
