Terms of Service

These Terms of Service (this "Agreement") govern your access to and use of BooksNav (the "Service"). By creating an account, clicking "I Agree", or otherwise accessing or using the Service, you agree to be bound by this Agreement. If you do not agree, do not use the Service.
1. License grant
Subject to your compliance with this Agreement and timely payment of all applicable subscription fees, BooksNav grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Service for your internal business purposes during your active subscription period. The license is to access the Service only - no software is transferred to you, and you acquire no ownership interest in BooksNav or its underlying technology.
2. Acceptable use
You agree not to:
- Reverse engineer, decompile, disassemble, or attempt to derive the source code of the Service;
- Copy, modify, or create derivative works of the Service;
- Use the Service to transmit malicious code, spam, or unlawful content;
- Resell, sublicense, or otherwise transfer your access to any third party;
- Use automated tools to scrape data from the Service other than through our supported export features;
- Circumvent, disable, or interfere with any security, authentication, or rate-limiting features of the Service;
- Use the Service to process Protected Health Information (PHI) as defined under HIPAA - BooksNav does not offer Business Associate Agreements;
- Use the Service in any manner that violates applicable law or Intuit's QuickBooks Online terms of service.
3. Subscriptions and billing
- Plan. BooksNav is offered as a single Pro subscription with optional add-ons. Plan features, add-on availability, and prices are described on our pricing page and may be modified with prospective notice.
- Free trial. Every new subscription begins with a 14-day free trial. A valid payment method is required at signup so the subscription can continue seamlessly when the trial ends. No charge is made during the trial period. You may cancel the trial at any time through your account settings; if you cancel before the trial ends, your card is not charged.
- Billing. Paid subscriptions are billed on a recurring monthly basis by our merchant of record, Paddle. Paddle handles payment processing, applicable taxes, and invoice issuance. BooksNav does not receive or store your raw payment card details.
- Auto-renewal. Paid subscriptions, including the conversion from free trial to paid Pro at the end of the 14-day trial, automatically continue at the then-current price unless you cancel before the relevant renewal or conversion date. You may cancel at any time through your account settings.
- Refunds. Our refund policy is published separately at /refund-policy and is incorporated into this Agreement by reference. In summary: no charge if you cancel during the 14-day trial; 7-day money-back guarantee on the first paid charge after trial conversion; no pro-rated refunds on partial-month usage thereafter.
- Failed payments.If a recurring charge fails, we will retry per Paddle's standard dunning policy. If payment remains unresolved, your subscription may be moved to a limited read-only state and paid features will become unavailable until the payment issue is resolved.
4. Your data
You retain all rights to the financial data and saved searches you bring into or create within the Service. BooksNav uses your data primarily to operate the Service: to sync your QuickBooks data, store it securely on your behalf, and surface it to you through the reporting features. We may also use aggregated and de-identified data, which cannot reasonably be used to identify you or your business, to improve the Service, benchmark performance, and analyze usage patterns. 5. Service availability
We strive to keep BooksNav available and performant, but we do not guarantee uninterrupted access. The Service may be temporarily unavailable due to maintenance, upstream provider outages (Intuit, Clerk, Neon, Google Cloud, Paddle), or unforeseen technical issues. We are not liable for losses resulting from such interruptions.
6. Disclaimer of warranties
BOOKSNAV IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE ERROR-FREE OR UNINTERRUPTED, OR THAT ANY DATA WILL BE ACCURATE OR COMPLETE. USE OF BOOKSNAV IS AT YOUR SOLE RISK.
7. Limitation of liability
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW:
- OUR TOTAL LIABILITY TO YOU FOR ANY CLAIM ARISING OUT OF OR RELATING TO THIS AGREEMENT OR YOUR USE OF BOOKSNAV SHALL NOT EXCEED THE TOTAL FEES YOU PAID US IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE CLAIM;
- IN NO EVENT SHALL WE BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, LOSS OF DATA, OR BUSINESS INTERRUPTION, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
Some jurisdictions do not allow the exclusion or limitation of certain damages, so the above limitations may not apply to you in full.
8. Termination
Either party may terminate this Agreement at any time. You may terminate by canceling your subscription and discontinuing use of the Service. We may terminate or suspend your access at any time, with or without notice, for any breach of this Agreement or for any other reason at our reasonable discretion. Upon termination, your license to use BooksNav ends immediately and you must cease all use of the Service. Sections 4, 6, 7, and 9 survive termination.
9. Governing law
This Agreement is governed by the laws of the jurisdiction in which BooksNav is established, without regard to conflict-of-law provisions.
10. Changes to these terms
We may update this Agreement from time to time. When we make material changes, we will update the "Last Updated" date at the top of this page and, where appropriate, notify you by email. Continued use of BooksNav after a change constitutes acceptance of the revised Agreement.
11. General
This Agreement constitutes the entire agreement between you and us regarding your use of BooksNav and supersedes any prior agreements on this subject. If any provision is found unenforceable, the remaining provisions remain in full effect. Our failure to enforce any right or provision does not constitute a waiver.
